1. Term

This Agreement shall commence on [START DATE] and continue for [DURATION] months unless terminated earlier pursuant to Section 7.

2. Advertising Services

Publisher shall display Advertiser's advertisements on the Platform as follows:

3. Compensation

4. Content Guidelines

• Ad content must comply with all applicable advertising laws and regulations.
• Advertiser shall provide creative assets at least [NUMBER] days prior to campaign start.

5. Representations and Warranties

• Each party represents that it has the full authority to enter into this Agreement.
• Advertiser warrants it owns or has rights to all content and trademarks provided.
• Publisher warrants it will display ads as described, subject to reasonable technical availability.

6. Data and Reporting

Publisher shall provide Advertiser with monthly reports including available metrics (impressions, clicks, etc.). All Platform analytics data remains the property of Publisher.

7. Termination

• Either party may terminate this Agreement with 30 days written notice.
• Publisher may terminate immediately for material breach, unlawful content, or reputational risk.
• Upon termination, prepaid fees for undelivered services shall be refunded on a pro-rata basis.

8. Limitation of Liability

Neither party shall be liable for indirect, incidental, consequential, or punitive damages. Publisher's total liability under this Agreement shall not exceed the fees paid by Advertiser.

9. Indemnification

Advertiser shall indemnify and hold harmless Publisher against any claims, damages, or expenses (including legal fees) arising from Advertiser's content or breach of this Agreement.

10. Confidentiality

Both parties shall keep confidential any proprietary or business information shared during the term of this Agreement and for 2 years thereafter.

11. Governing Law

This Agreement shall be governed by the laws of [STATE/PROVINCE/COUNTRY]. Any disputes shall be resolved in the courts of [JURISDICTION].

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties and may only be amended in writing, signed by both parties.
